1. Acceptance of Terms

By accessing and using Resonia ("the Platform"), you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Platform.

2. Description of Service

Resonia provides a HIPAA-compliant platform for music therapists to conduct therapy sessions, manage client records, schedule appointments, process billing, and maintain their practice. The Platform includes:

  • Video and VR therapy session capabilities
  • Clinical documentation tools (SOAP notes, treatment plans)
  • Integrated music streaming and therapeutic playlists
  • Practice management (scheduling, billing, insurance)
  • Client portal for patients to access resources and session information

3. User Accounts

3.1 Account Creation

To use Resonia, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your password
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use

3.2 Professional Credentials

Therapist accounts require verification of professional credentials. You represent and warrant that you hold all necessary licenses and certifications to practice music therapy in your jurisdiction.

4. Acceptable Use

4.1 Permitted Use

You may use the Platform for lawful purposes related to music therapy practice.

4.2 Prohibited Activities

You agree NOT to:

  • Violate any laws or regulations
  • Infringe on intellectual property rights
  • Upload malware or malicious code
  • Attempt to gain unauthorized access to the Platform
  • Interfere with or disrupt the Platform's operation
  • Use the Platform for any fraudulent purpose
  • Impersonate any person or entity
  • Share your account credentials with others
  • Scrape or harvest data from the Platform

5. Professional Responsibility

Resonia is a tool to support your music therapy practice. You remain solely responsible for:

  • The quality and appropriateness of care provided to clients
  • Compliance with professional standards and ethics
  • Obtaining informed consent from clients
  • Maintaining proper licensure and credentials
  • Reporting obligations (e.g., mandatory reporting of abuse)
  • Crisis management and emergency response
  • Maintaining appropriate professional liability insurance

6. Subscription and Payment

6.1 Subscription Plans

Resonia offers various subscription tiers. Pricing and features are available on our pricing page and may change with notice.

6.2 Billing

  • Subscriptions are billed monthly or annually in advance
  • All fees are non-refundable except as required by law
  • You authorize us to charge your payment method automatically
  • Failed payments may result in service suspension
  • Taxes may be added where applicable

6.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You will retain access until that date.

7. Data and Privacy

Our use of your data is governed by our Privacy Policy. By using Resonia, you consent to our data practices as described in the Privacy Policy.

You retain ownership of your clinical data. We claim no ownership rights to the content you upload or create on the Platform.

8. Intellectual Property

8.1 Platform Ownership

Resonia and all related intellectual property are owned by Resonia, Inc. You are granted a limited, non-exclusive, non-transferable license to use the Platform.

8.2 User Content

You grant Resonia a license to host, store, and backup your content solely for the purpose of providing the service. We will not use your clinical data for any other purpose without your consent.

9. Service Availability

We strive to provide reliable service but do not guarantee uninterrupted access. We may suspend service for maintenance or updates. We are not liable for service interruptions beyond our control.

Service Level Agreement (SLA): We target 99.9% uptime for paid subscribers, measured monthly.

10. Termination

10.1 By You

You may terminate your account at any time through your account settings.

10.2 By Us

We may suspend or terminate your account if you:

  • Violate these Terms of Service
  • Fail to pay subscription fees
  • Engage in fraudulent or illegal activity
  • Pose a security risk to the Platform or other users

10.3 Effect of Termination

Upon termination, you will lose access to the Platform. You have 30 days to export your data before permanent deletion. We retain backups per our retention policy and legal obligations.

11. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Resonia is not a healthcare provider. We do not provide medical advice, diagnosis, or treatment. The Platform is a tool for licensed professionals to deliver their services.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HARMONIA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO HARMONIA IN THE 12 MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify and hold Resonia harmless from any claims, damages, losses, or expenses arising from:

  • Your use of the Platform
  • Your violation of these Terms
  • Your violation of any rights of another
  • Your provision of professional services to clients

14. Dispute Resolution

14.1 Informal Resolution

Before filing a claim, please contact us at legal@harmonia.app to seek informal resolution.

14.2 Arbitration

Any disputes shall be resolved through binding arbitration under the American Arbitration Association rules, except where prohibited by law.

14.3 Governing Law

These Terms are governed by the laws of [Your State/Country], without regard to conflict of law principles.

15. Changes to Terms

We may modify these Terms at any time. Material changes will be notified via email 30 days in advance. Continued use after changes constitutes acceptance.

17. Miscellaneous

These Terms constitute the entire agreement between you and Resonia.

17.4 Assignment

You may not assign these Terms without our consent. We may assign these Terms without restriction.
